GRANT OF LICENSE.
Pawtul grants you a non-exclusive, non-transferable, limited license to use the Software and Documentation, solely for your own personal or business use, subject to the terms and conditions of this EULA.
RESTRICTIONS.
You may not copy, modify, distribute, sell, or transfer the Software or Documentation, or any portion thereof, without the prior written consent of Pawtul. You may not reverse engineer, decompile, or disassemble the Software, except to the extent that such activity is expressly permitted by applicable law. You may not rent, lease, or lend the Software or Documentation.
OWNERSHIP
The Software and Documentation are owned by Pawtul and its licensors and are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The structure, organization, and code of the Software are valuable trade secrets and confidential information of Pawtul and its licensors. All rights not expressly granted to you herein are reserved by Pawtul and its licensors.
DISCLAIMER OF WARRANTY.
THE SOFTWARE AND DOCUMENTATION ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. PAWTUL DOES NOT WARRANT THAT THE SOFTWARE OR DOCUMENTATION WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
LIMITATION OF LIABILITY
IN NO EVENT SHALL PAWTUL OR ITS LICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES FOR PERSONAL INJURY, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE OR DOCUMENTATION, EVEN IF PAWTUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL PAWTUL'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE AND DOCUMENTATION.
TERMINATION
This EULA shall terminate automatically if you fail to comply with any of the terms and conditions of this EULA. Upon termination, you shall immediately cease all use of the Software and Documentation and destroy all copies of the Software and Documentation.
GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to its conflict of laws provisions.
ENTIRE AGREEMENT
WThis EULA constitutes the entire agreement between you and Pawtul with respect to the Software and Documentation and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Pawtul. This EULA may not be modified except in writing signed by both parties.
